1. Terms

Tracing Agencies and Agents contracted to TraceGenie (Pty) Ltd
  • Subscribers to the TraceGenie platform hereby agree to be bound by all Government Legislation relating to the functions of a debt collections and tracing agency and to adhere to all legislation relating to the fair treatment of consumers.
  • Subscribers to the platform seek to maintain a high standard of business practice and to exercise honesty, integrity and credibility at all times in their dealings with the public, clients and fellow members.
  • Subscribers to the platform shall not misrepresent their qualifications, capacity, experience and abilities or knowingly delegate assigned tasks to unqualified persons.
  • Subscribers to the platform support the resolution of disputes initiated by either the public or members through an independent party and agree to be bound by any findings of the independent party.

Code of Conduct

As a user of the TraceGenie Platform and having accepted its Code of Ethics, I accept that I have a responsibility to conduct my business in an honest and fair manner and that I will honour my commitment to fellow members and clients alike.

  • I undertake to protect the interests of my clients and those of TraceGenie and will give prompt and diligent attention to all matters received.
  • I undertake to initiate clients’ instructions in a prompt and diligent manner, providing such instructions are reasonable and legitimate. I undertake to be selective, where possible, in accepting instructions from firms or individuals who may engage in questionable activities.
  • I undertake not to speak disparagingly about fellow members and their business activities.
  • I undertake not to supply an opinion on matters in which the client’s best interest will be served by referral to an appropriate legal person or law firm.
  • I undertake to provide efficient and effective service in all areas which have been designated as covered by the agency.
  • I undertake to provide all those services which have been clearly advertised as services performed by the agency.
  • I undertake to accept no gratuities from clients which may be perceived as impairing the provision of an efficient and effective service.
  • I undertake to report the results obtained and that these results will be captured on the TraceGenie platform and scanned and original documents will be provided.
  • I undertake to ensure that invoicing is accurate and all fees can be supported byrelevant documentation

TraceGenie Service Level Agreement: Tracer Version

The following Terms of Service (the “Agreement”) is effective from 2026-04-18

In respect of the service delivered, known as the TRACEGENIE TRACE INSTRUCTION PLATFORM

WHEREAS, this Agreement contains the TRACE COMPANY and TRACEGENIE terms of engagement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending to be legally bound, agree as follows:


  1. SERVICES PROVIDED

    TraceGenie offers a platform for Tracing Companies, hereafter referred to as Tracing Agents, to manage Tracegenie trace instruction information and to use this platform to return a trace result / Outcome to the TRACE GENIE CLIENT via the TraceGenie platform. The PARTIES agree that they want to be part or form part of the Tracegenie Agent Network


  2. CALCULATION OF FEES AND OTHER CHARGES

    1. OUTCOME FEE is the fee directly linked to the OUTCOME, e.g. (Beneficiary Desktop). Each CLIENT will set its own fees per OUTCOME, payable for a successful trace.

    2. OUTCOMES refer to specific results required by the CLIENT for which the latter would be willing to pay an OUTCOME FEE of (Rand XX) for each SUCCESSFUL OUTCOME.

    3. TRACE INSTRUCTIONS refer generally to the instruction from the CLIENT to locate a person, member, beneficiary, spouse or relative.

    4. TRACING AGENTS refer to companies and their employees who, by any legal means, trace beneficiaries, members, shareholders or persons, and obtain signatures on legal documentation, etc, on behalf of the CLIENT.

    5. CLIENTS / SUPPLIERS refer generally to TRACEGENIE's clients and or trace instruction suppliers, these instructions will be available to claim via the TRACEGENIE POOL.

  3. BILLING ARRANGEMENTS

    1. Billing occurs at the end of each month with the description of OUTCOMES during that month. TraceGenie will send an email with the billable instructions (Approved by the CLIENT) on the 1st of every month.

    2. The TRACE COMPANY will send an invoice according to the billing breakdown before the 15th of every month.

    3. TraceGenie will make available reporting functionality to the TRACE COMPANY to ensure that full integrity, transparency and performance review is available on a real-time basis.

  4. CONTRACT DURATION AND AMENDMENTS

    1. It is hereby agreed that this contract will be in force from the effective date and shall continue for an indefinite period, subject to renewal at the instance of both parties, or until cancelled by either party in accordance with the relevant paragraphs pertaining to termination and / or cancellation.

    2. All amendments must be reduced to writing and added as an addendum to the original agreement. It must be signed by the authorised representatives of both parties.

  5. CONFIDENTIALITY

    1. The parties agree that the information loaded on the TraceGenie database is to be treated as confidential, and will only be used for the purpose of dissemination of instructions to the TRACING AGENTS.

    2. TRACE COMPANIES / TRACING AGENTS agree not to share any login information with any other company, AGENT or person of any nature whatsoever.

    3. Feedback from the TRACE COMPANY / TRACING AGENTS will only be communicated to the relevant CLIENT and to no other party.

  6. TERMINATION

    1. Either Party may cancel this agreement with 30 days written notice to the other party, upon which all clauses relating to Termination and / or Cancellation will take effect.

    2. TraceGenie will have the right, without prejudice to its other rights or remedies, to terminate this Agreement immediately by written notice to the TRACE COMPANY, if the TRACE COMPANY:

      1. is the subject of any order made, or a resolution passed for the administration, winding-up or dissolution (otherwise than for the purpose of a solvent amalgamation or reconstruction); or

      2. enters into or proposes any composition or arrangement with its creditors generally; or

      3. if the TRACE COMPANY is in material breach of this Agreement (being a single event or a series of events which are together a material breach) and either such breach is not capable of remedy.

  7. GOOD FAITH

    In the implementation of this Agreement, the Parties undertake to observe the utmost faith and they warrant in their dealings with each other that they shall neither do anything, nor refrain from doing anything, which might prejudice or detract from the rights, assets or interests of either party.


  8. DOMICILIA AND NOTICES

    1. The Parties hereto choose domicilia citandi et executandi for all purposes under this Agreement at their respective addresses set forth in the INDEX hereof.

    2. Any notice to any party shall be addressed to it at its domicilium aforesaid and either sent by pre-paid registered post, delivered by hand or communicated by fax. In the case of:

      1. any notice sent by pre-paid registered post, it shall be deemed to have been received, unless the contrary is proved, on the 5th (fifth) Business Day after posting;

      2. any notice delivered by hand, it shall be deemed to have been received unless the contrary is proved on the date of delivery, provided such date is a Business Day or otherwise on the next following Business Day;

      3. any communication by telefax, it shall be deemed to have been received, unless the contrary is proved, 24 (twenty-four) hours after the time of transmission, provided the day of transmission is a Business Day or otherwise on the next following Business Day;

    3. In the event of any party to this Agreement delivering any notice in terms hereof by hand or telefax, a copy of such notice shall, on the date of the said hand-delivery, or said communication by telefax, be sent by pre-paid registered post to the other party to this Agreement. Any party shall be entitled, by notice to the other, to change its domicilium to such other address within the Republic of South Africa, provided that the change shall become effective only 14 (Fourteen) days after service of the notice in question.

If the foregoing terms and conditions contained in the service level agreement are understood and acceptable, acknowledge where indicated below.
